Terms of Engagement

1. Our Agreement

These Terms of Engagement ("Terms") govern the professional relationship between Rait Accountants Ltd ("Rait", "we") and you ("Client"). By engaging our services, you agree to these Terms. A separate engagement letter will be issued prior to the commencement of any specific engagement.

2. Scope of Services

The specific services to be provided will be set out in the engagement letter. Our services may include accountancy, tax planning, management accounts, statutory filing, forensic accounting, and financial advisory. Any work outside the agreed scope will be the subject of a separate engagement or amendment.

3. Client Responsibilities

You agree to provide complete, accurate, and timely information necessary for us to perform our services. We rely on the information you provide and are not responsible for errors arising from incomplete or inaccurate data. You are responsible for the accuracy of your underlying records and for decisions made on the basis of our advice.

4. Fees and Payment

Our fees will be agreed in the engagement letter. Invoices are payable within 14 days of issue unless otherwise agreed. We reserve the right to suspend services where invoices remain unpaid beyond the agreed payment terms.

5. Confidentiality

We will keep your information strictly confidential and will not disclose it to third parties without your consent, except where required by law, regulation, or our professional obligations to ACCA. This obligation continues after the termination of our engagement.

6. Limitation of Liability

Our liability to you in connection with any engagement is limited to the fees paid by you for that specific engagement. We are not liable for any indirect, consequential, or special loss. Nothing in these Terms excludes liability for fraud or death or personal injury caused by our negligence.

7. Termination

Either party may terminate an engagement by giving 30 days' written notice. We reserve the right to terminate immediately where continued engagement would breach our professional obligations or applicable law.

8. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
